
Foreign Corporation - Profit CorporationA foreign corporation is an existing corporation that is registered to do business in a jurisdiction (such as a U.S. State, or a country) other than the one where it was originally incorporated. A corporation could be incorporated in one country or state and authorized to do business in one or more additional countries, depending on whether corporations are registered. If your company expects to transact business outside your state of formation, your company may be required to qualify as a "foreign corporation". A corporation is considered to be domestic only in the state where it was formed. In all other states, your company is regarded as a foreign corporation.
Registering a Foreign CorporationA foreign corporation shall not transact intrastate business without having first obtained from the Secretary of State a certificate of qualification. To obtain that certificate it shall file, a statement and designation signed by a corporate officer stating: Its name and the state of place of its incorporation or organization. The address of its principal executive office. The address of its principal office within this state, if any.
The name of an agent upon whom process directed to the corporation may be served within this state. The designation shall comply with the provisions of subdivision (b) of Section 1502. CALIFORNIA CORPORATE CODE
