Foreign Limited Liability Partnership
If your company expects to transact business outside your state of formation, your company may be required to qualify as a "Foreign Limited Liability Partnership". A limited liability Partnership is considered to be domestic only in the state where it was formed. In all other states, your company is regarded as a foreign limited liability partnership.
A foreign limited liability partnership shall not transact intrastate business without having first obtained from the Secretary of State a certificate of qualification. To obtain that certificate it shall file, a statement and designation signed by an officer stating: Its name and the state of place of its organization. The address of its principal executive office. The address of its principal office within this state, if any.
The name of an agent upon whom process directed to the corporation may be served within this state. The designation shall comply with the provisions of subdivision (b) of Section 1502. CALIFORNIA CORPORATE CODE
